Terms of Service

These Terms of Service ("Terms") govern your access to and use of the My Smart Signage digital signage platform and related services ("Service") provided by My Smart Signage ("we", "us", or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

My Smart Signage is a cloud platform for designing, scheduling, and broadcasting content to display screens and media players. Features, plans, and limits may change over time as the Service evolves.

2. Accounts

Accounts are provisioned by My Smart Signage as part of onboarding. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it current.

3. Acceptable use

You agree not to use the Service to display, store, or distribute content that is unlawful, infringing, defamatory, or that violates the rights of others. You are solely responsible for the content you publish to your screens and for ensuring you have the rights to display it. We may suspend content or accounts that violate these Terms.

4. Your content

You retain ownership of the content you upload and display through the Service. You grant us a limited license to host, process, and transmit that content only as needed to operate the Service for you. We do not claim ownership of your content.

5. Fees and billing

Paid plans are billed on a subscription basis, typically per screen, as described at the time of purchase. Fees are charged in advance and are non-refundable except where required by law. We may change pricing with reasonable notice. Failure to pay may result in suspension of the Service.

6. Availability and support

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Screens are designed to keep playing the last approved schedule during connectivity interruptions. Remote support, when used, is governed by our Remote Access Policy.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by My Smart Signage and protected by law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted.

8. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends, and we may delete your data after a reasonable period.

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. To the extent permitted by law, My Smart Signage will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold My Smart Signage harmless from claims, damages, and expenses (including reasonable legal fees) arising from the content you display through the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
